Tata Motors has raised its takeover offer for Italian truck maker Iveco Group by €0.30 to €14.40 a share, and declared it the best and final price. The revision, disclosed in an exchange filing on the night of 9 October, lifts the maximum value of the all-cash deal to about €3.91 billion if all 271.2 million targeted shares are tendered, up from roughly €3.82 billion at the earlier €14.10 price. The company attributed the increase to authorisations taking longer than initially expected.
The transaction, announced in 2025 at around €3.8 billion and run through Tata's TML CV Holdings vehicle, covers Iveco's commercial-vehicle business but excludes its defence operations. The revised price represents a 33.47% premium over Iveco's 17 July 2025 close, the last trading day before acquisition reports emerged, and a 6.77% premium over the 29 July 2025 close. Tata will fund the extra payout through an €85 million credit facility with MUFG Bank's GIFT City branch.
| Deal term | Detail |
|---|---|
| Earlier offer price | €14.10 per share |
| Revised offer price | €14.40 per share (best and final) |
| Maximum deal value | €3.91 billion for 271.2 million shares |
| Tender acceptance window | 7 September to 26 October 2026 |
| Shares tendered by 9 October | 28.4% |
Two dates now matter. Iveco shareholders vote on related resolutions at an extraordinary general meeting on 16 October, and the tender window closes on 26 October. Iveco's board has backed the deal and recommended that shareholders tender. Approval of the back-end resolutions could lower the effective acceptance threshold from 95% to 80%, which is why the vote is seen as the next decisive milestone. If the resolutions pass and the tender is fully accepted, Tata would move to integrate Iveco's truck business with its own, a combination it has framed as geographically complementary.
For Indian readers, this is more than a corporate headline. Completing the acquisition would create a commercial-vehicle group with roughly €21 billion in annual revenue, widening Tata's global truck footprint and technology access. That scale is exactly what a homegrown manufacturer needs as the global CV industry pivots to electric and hydrogen drivetrains.
